1. About these Terms
These Terms of Use (“Terms”) govern your access to and use of the website operated by Orovia Corporate Services & Advisory Pte. Ltd. (UEN 202545239G) (“Orovia”, “we”, “us” or “our”) at https://www.oroviacorp.com, including the information, articles, materials, functions and services made available through it (collectively, the “Website”).
By accessing or using the Website, you acknowledge that you have read and understood these Terms and agree to be bound by them. If you do not agree with these Terms, please stop accessing and using the Website.
If the Website asks you to tick a box or otherwise confirm your acceptance before you submit an enquiry, doing so also constitutes your acceptance of these Terms.
If you access the Website from outside Singapore, you are responsible for complying with any laws that apply to you in the location from which you access it.
2. Information provided through the Website
The Website provides general information about Orovia, our services and subjects that may be relevant to businesses and individuals. Website content is provided for general informational purposes only.
Although we take reasonable care when preparing and maintaining the Website, information may become incomplete, inaccurate or outdated. Laws, regulations, official requirements, professional standards and commercial circumstances may also change after content is published.
We do not represent or warrant that every item of information on the Website is complete, accurate, current or suitable for your particular circumstances. You should verify information that is important to a decision and obtain advice appropriate to your circumstances before acting or refraining from acting.
Content is stated as at the date of publication shown on it, and we are under no obligation to update it to reflect later changes in law, regulation or practice. We may update, correct, replace, withdraw or discontinue any part of the Website without prior notice.
3. No professional advice
Nothing on the Website constitutes accounting, tax, corporate secretarial, legal, employment, investment or other professional advice for your particular circumstances.
Orovia is a corporate service provider registered with the Accounting and Corporate Regulatory Authority (registration no. FA20260183). Orovia is not a public accounting entity and does not provide statutory audit or other assurance services. It is not a law practice and does not provide legal advice, and it is not a licensed financial adviser.
Articles, checklists, comparisons, frequently asked questions and other materials may simplify a subject for general understanding. They may not describe every requirement, exception or risk that could apply to a particular business, transaction or individual.
Website content is directed at Singapore circumstances unless expressly stated otherwise. It does not address the laws of any other jurisdiction and should not be relied on in relation to cross border matters without separate local advice.
You should not rely solely on Website content when making a business, financial, regulatory, employment, immigration or other decision. Appropriate professional advice should be obtained after the relevant facts and circumstances have been considered.
Orovia does not assume responsibility, and owes no duty of care, to any person in respect of Website content, except as expressly agreed in a letter of engagement.
Where Orovia is formally engaged to provide services, the scope and terms of those services will be governed by the applicable proposal, letter of engagement and any other written agreement between Orovia and the client. If there is any inconsistency between these Terms and an applicable written engagement agreement, the engagement agreement will govern the services covered by it.
4. No client relationship created through the Website
Accessing the Website, submitting an enquiry, sending us a message, scheduling or attending an introductory call, subscribing to an update, or receiving a response from us does not by itself create a client, advisory, fiduciary or other professional relationship with Orovia.
An engagement will begin only after:
- Orovia has agreed to accept the prospective client and the proposed engagement;
- the required onboarding, identity verification and customer due diligence procedures have been satisfactorily completed;
- the scope, responsibilities and fees have been agreed; and
- the relevant parties have entered into a letter of engagement or other written agreement.
Orovia may decide not to accept a prospective client or engagement, including where legal, regulatory, professional, capacity, independence, conflict or risk considerations arise. We are not obliged to give reasons, and in some cases are prohibited by law from doing so.
Information about our services does not constitute an offer to provide those services to any particular person. Any service scope, timeframe or fee indicated on the Website or in preliminary correspondence is indicative only and remains subject to confirmation through the engagement process.
5. Permitted use of the Website
You may access and use the Website for lawful, personal, internal business and informational purposes in accordance with these Terms.
You must not:
- use the Website for any unlawful, fraudulent, misleading or unauthorised purpose;
- impersonate another person or misrepresent your identity, authority or relationship with another person or organisation;
- interfere with the availability, security or proper operation of the Website;
- attempt to gain unauthorised access to the Website, its underlying systems or any information not intended to be publicly available;
- introduce viruses, malicious code, corrupted files or other harmful technology;
- use the Website in a manner that places an unreasonable or disproportionately large burden on its systems;
- systematically extract, scrape, harvest, reproduce or compile Website content using automated tools without our prior written permission, except for ordinary search engine indexing permitted by the Website’s configuration;
- remove or alter copyright, trademark or other proprietary notices;
- use Website content to develop, train or improve any artificial intelligence or machine learning system, or any dataset intended for that purpose, without our prior written permission. Orovia reserves all rights in respect of text and data mining of Website content. Nothing in this paragraph restricts any act that a person is entitled to do under the Copyright Act 2021 and that cannot lawfully be restricted by contract, and this paragraph operates as a condition of your permission to access the Website; or
- reproduce, republish, distribute, sell, license, commercially exploit or create derivative works from Website content except as expressly permitted by these Terms or by law.
We may restrict or block access to the Website where we reasonably believe that these Terms have been breached or that access presents a security, legal or operational risk.
6. Intellectual property
Unless otherwise stated, the Website and its content, including its design, text, articles, graphics, photographs, illustrations, videos, audio, software, databases, trade names, trademarks, logos and the selection and arrangement of those materials, are owned by or licensed to Orovia and are protected by applicable intellectual property laws.
You may view, download or print reasonable extracts of Website content for your own personal or internal business reference, provided that:
- the content is not materially altered;
- Orovia is clearly identified as the source;
- all applicable copyright and proprietary notices are retained; and
- the content is not used commercially or presented as professional advice given by Orovia to another person.
No ownership or other intellectual property rights are transferred to you through your use of the Website. Any use outside the permission given above requires our prior written consent.
“Orovia”, the Orovia logo and other branding displayed on the Website may not be used in a manner that suggests endorsement, partnership or association without our prior written permission.
7. Enquiries and information submitted to us
The Website may allow you to submit an enquiry, request a consultation or communicate with us through an external messaging or booking service.
Please provide information that is accurate and that you are authorised to provide. If you submit personal data relating to another individual, you are responsible for ensuring that you are authorised to do so and that the individual has been appropriately informed.
General website forms, email, messaging platforms and introductory calls are not intended for the transmission of passwords, original identification documents, detailed bank information or other highly sensitive or confidential material. Please wait until we confirm an appropriate transmission method before sending such information.
We take reasonable steps to protect information submitted to us. However, an initial enquiry does not by itself establish a client relationship or create professional duties that arise only under an agreed engagement. Personal data submitted to us will be handled in accordance with our Data Protection & Privacy Policy.
You retain ownership of material you submit to us. You permit us to review, use, store and share that material only to the extent reasonably necessary to:
- respond to your enquiry;
- evaluate a potential engagement;
- perform onboarding and due diligence procedures;
- retain a record of the enquiry and of our acceptance checks, for the period described in our Data Protection & Privacy Policy;
- comply with applicable legal and regulatory obligations; or
- provide services under a subsequent written engagement.
You should not submit material that infringes another person’s rights or that you are not authorised to disclose.
8. Data protection and cookies
Our collection, use, disclosure, storage and protection of personal data are described in our Data Protection & Privacy Policy, available at /privacy-policy.
The Website may use cookies and similar technologies for necessary website functions and, where enabled, for analytics or advertising. Information and choices relating to non-essential technologies will be provided through the Website’s cookie controls where applicable.
External platforms accessed through the Website may collect and process information under their own privacy policies and terms.
9. Third party websites and services
The Website may contain links to or use services provided by third parties, including government agencies, professional bodies, technology providers, calendar booking platforms, LinkedIn and WhatsApp.
These links and services are provided for convenience or to support Website functionality. Their inclusion does not necessarily mean that Orovia endorses the third party, its content or all the products and services it provides.
Third party websites and platforms are independently operated. Orovia does not control their availability, security, content, privacy practices or terms. Your use of them is subject to the relevant provider’s terms and policies and is at your own discretion.
To the fullest extent permitted by law, Orovia is not responsible for loss or damage arising from your use of, inability to use, or reliance on a third party website, platform, product or service.
10. Website availability and security
We aim to keep the Website available and functioning appropriately, but we do not guarantee uninterrupted, timely, secure or error free access.
The Website may be suspended, restricted or unavailable because of maintenance, upgrades, technical failures, security incidents, hosting interruptions or circumstances outside our reasonable control.
We take reasonable measures to protect the Website, but no internet-based service can be guaranteed to be entirely secure or free from viruses, malicious code or other harmful components. You are responsible for maintaining appropriate security protections on your devices, systems and networks.
11. Disclaimer of warranties
The Website and its content are provided on an “as is” and “as available” basis.
To the fullest extent permitted by law, Orovia excludes all representations, warranties and conditions, whether express, implied or statutory, concerning:
- the completeness, accuracy, currency, reliability or suitability of Website content;
- the availability, security or operation of the Website;
- the absence of errors, defects, viruses or harmful components; and
- the suitability of Website content for a particular purpose or circumstance.
Nothing in these Terms limits any representation, warranty or obligation that cannot lawfully be excluded.
12. Limitation of liability
To the fullest extent permitted by law, Orovia and its directors, officers, employees and representatives will not be liable for any indirect, incidental, special, punitive or consequential loss or damage arising from or connected with:
- access to, use of or inability to use the Website;
- reliance on Website content;
- any error, omission, interruption or delay;
- loss, corruption or unauthorised access to data;
- the conduct, content or availability of a third party website or service; or
- any decision or action taken on the basis of Website content.
This includes loss of profit, revenue, business, opportunity, goodwill, reputation, anticipated savings or data, whether arising in contract, tort, including negligence, or otherwise, even where the possibility of such loss was known or foreseeable.
Orovia’s total liability to you arising out of or in connection with the Website and these Terms, whether in contract, tort (including negligence) or otherwise, is limited to S$100.
Nothing in these Terms excludes or limits liability for fraud or fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded or limited.
The limitations in this section apply only to your use of the Website. Any liability relating to services formally provided by Orovia will be governed by the applicable letter of engagement or other written agreement.
13. Changes to the Website and these Terms
We may change the Website or revise these Terms from time to time.
The revised Terms will be published at /terms-of-use with an updated revision date. Unless otherwise stated, changes take effect when the revised Terms are published.
Your continued use of the Website after revised Terms are published constitutes acceptance of those revised Terms. You should review this page periodically if you continue to use the Website.
14. Severability and waiver
If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be treated as modified to the minimum extent necessary to make it valid and enforceable. If that is not possible, it will be removed without affecting the remaining provisions.
A failure or delay by Orovia in exercising a right under these Terms does not waive that right.
15. Governing law and jurisdiction
These Terms are governed by and construed in accordance with the laws of Singapore.
You agree to submit to the exclusive jurisdiction of the courts of Singapore in relation to any dispute arising from or connected with these Terms or your use of the Website. Nothing in this section prevents Orovia from applying for injunctive or other interim relief in any jurisdiction.
