Corporate Advisory

Shape what comes next for your business

Practical advice and coordinated expertise for structures, projects, expansion and other significant business matters.

Some business matters bring several considerations together. A new corporate structure, market entry, transaction, reorganisation or special project may involve commercial priorities, financial implications, statutory steps, tax considerations and input from different internal teams or professional advisers.

We work with you to understand the outcome you want, assess the available options and organise the work required to carry it forward. This may include bringing our Singapore tax advisory capability into the engagement, coordinating specialist input and maintaining sight of how each workstream contributes to the wider objective. For cross border matters, our leadership’s international finance experience enables us to coordinate across locations, with local specialists providing the jurisdiction specific advice required.

Some decisions reach across the business

Corporate advisory becomes particularly useful when a decision affects more than one part of the business or requires several workstreams to be planned together. The need may arise from a defined event, a new opportunity or a change carrying commercial, financial, structural, tax or statutory implications.

  • Entering a new market

Considering how the business will operate, the structure it may require and the financial, tax and professional input needed to establish an appropriate presence.

  • Reviewing a corporate structure

Assessing whether the existing arrangement remains suitable for the business’s activities, ownership, responsibilities and future plans.

  • Undertaking a transaction or investment

Bringing financial and commercial considerations into view while coordinating the information, analysis and specialist advice required before proceeding.

  • Reorganising the business

Planning changes involving entities, ownership, responsibilities, operations or internal arrangements and helping the different workstreams move in the same direction.

  • Delivering an important project

Providing an additional perspective and coordinating defined initiatives that involve several functions, stakeholders or professional advisers.

  • Addressing a special corporate matter

Helping the business examine and respond to a non-routine situation that does not fit neatly within its usual operational or professional service arrangements.

In these moments, the value lies in seeing the whole picture and giving each part of the matter the attention it needs. We help you organise the work, bring the right expertise into the conversation and keep the intended outcome in view as the matter progresses.

Advice shaped around the matter at hand

Corporate advisory requirements vary with the event or objective. We define the engagement around the questions to be answered, the decisions to be made and the work required to carry them forward, drawing together the relevant Orovia capabilities and external expertise.

Singapore Tax advisory. Where a structure, transaction, expansion or other corporate matter raises Singapore tax considerations, we can bring our Tax advisory capability into the engagement and coordinate with overseas tax specialists where another jurisdiction is involved.

These services can stand alone or be combined around a wider matter. We will shape the engagement around the outcome you are working towards and bring the relevant capabilities together in a practical, coordinated way.

How we work with you

Bringing the right people around the matter

A corporate matter may call for financial, tax, legal, corporate secretarial or operational expertise. Receiving each piece of advice separately is not always enough: the implications can overlap, the sequence of work matters and a decision in one area may affect another.

  1. Identifying the expertise required

We establish which capabilities are needed for the matter and where specialist advice should be sought. This may involve Orovia’s wider services, the client’s existing advisers or appropriately qualified professionals in the relevant jurisdiction.

  2. Connecting the workstreams

We help define responsibilities, organise the information required and coordinate the timing and dependencies between the parties involved. This gives each adviser the context needed to contribute effectively.

  3. Turning advice into action

We bring the principal considerations together, explain how they relate to the wider objective and help translate the agreed direction into practical next steps.

You remain at the centre of every decision. Our role is to organise the contribution around you, so that specialist advice can be considered together and carried forward as a coherent course of action.

Our scope of work and fees

Shaped around the matter, not a standard package

Corporate advisory engagements vary according to the issue, objective and stage at which we become involved. The agreed scope will identify the questions to be addressed, the services and deliverables included, the respective responsibilities, the expected timeframe and any specialist input required. Where legal, regulated or jurisdiction specific advice is needed, this will be provided by an appropriately qualified professional, with Orovia coordinating their contribution where agreed.

Fees are quote based and reflect the breadth and complexity of the work, the information available and the level of involvement required. Once we understand the matter, we will prepare a proposal tailored to your requirements, setting out what we will undertake, how we will contribute and the applicable fees.

Frequently asked questions

Can Orovia coordinate cross border expansion, and which markets do you have experience with?

Yes. We can help organise the structural, financial, tax and operational workstreams involved in entering or developing within another market. Our leadership brings cross border experience involving Malaysia and the UAE, alongside Singapore based capability.

For other markets, we can coordinate with appropriately qualified local specialists who understand the jurisdiction’s legal, tax, regulatory and operational requirements.

Does Corporate Advisory include tax advisory?

Yes, where the matter involves Singapore tax considerations. Our Tax advisory capability can be incorporated into work involving structures, transactions, reorganisations, expansion or other corporate decisions.

Where another jurisdiction is involved, we can work with an appropriately qualified local tax adviser and coordinate their input with the wider engagement.

Does Orovia provide legal advice or work with lawyers and other professional advisers?

We do not provide legal opinions. Where legal advice is required, it should come from an appropriately qualified lawyer in the relevant jurisdiction.

We can work with your existing lawyers and other professional advisers, or help identify where specialist input is needed. Our role may include defining the relevant workstreams, organising information and coordinating how the different contributions fit together.

What is the difference between Corporate Advisory and Fractional Finance & CFO Support?

Corporate Advisory generally centres on a particular business matter, such as a structure, transaction, reorganisation, expansion or special project that may require several areas of expertise.

Fractional Finance & CFO Support provides additional finance capability through services such as FP&A, budgeting, forecasting, cashflow analysis, business partnering and finance leadership. The two services can be combined where a corporate matter would benefit from deeper financial analysis or ongoing finance involvement.

Can we engage Orovia for one specific project or corporate matter?

Yes. An engagement can be confined to one defined question, event or project. We will agree the intended outcome, scope, responsibilities, deliverables and timeframe before the work begins.

If the matter develops or further needs arise, any additional work will be discussed and agreed with you separately.
