COMPANY INCORPORATION

Company Incorporation and Registration in Singapore

Whether you are starting a new business, establishing a Singapore subsidiary or creating a base for regional operations, incorporation should begin with a clear understanding of how the company will be owned, managed and operated.

Orovia advises on the requirements and manages the registration process, providing one point of contact from the initial company name application through to incorporation and the agreed post registration arrangements.

Establishing your company in Singapore

For many entrepreneurs, privately owned businesses and international groups, a private company limited by shares is the preferred structure for operating in Singapore. It creates a legal entity separate from its shareholders and can accommodate both individual and corporate ownership.

Before the company can be incorporated, its proposed activities, ownership, directors, share capital, registered office and constitutional arrangements must be established. The proposed company name must also be submitted to and approved by the Accounting and Corporate Regulatory Authority before the incorporation application can proceed.

Additional considerations may arise where the company has overseas founders, corporate shareholders, regulated activities or a more complex ownership structure. These may affect the documents required, the verification process, the appointment of a locally resident director and the support needed after incorporation.

We work through these requirements with you, prepare the relevant incorporation documentation and submit the required applications once the company name has been approved and the necessary information and verification checks are complete.

Why incorporate a company in Singapore?

Singapore is widely used by entrepreneurs, growing businesses and international groups as a base for local and regional operations. Its appeal extends beyond the relative efficiency of registering a company.

Trusted business environment

Strategic regional location

Its position and international connectivity make it a practical base for businesses serving Southeast Asia and the wider Asia-Pacific region.

International trade access

Singapore’s network of free trade agreements and other economic partnerships can support qualifying businesses trading or operating across borders.

What should be considered before incorporating a Singapore company?

A company should be established around how the business is expected to operate, not simply around the information required for registration. Important matters include:

  • Company name and approval

The preferred company name and suitable alternatives should be considered before the name application is submitted. Certain names may require further information or referral to another government authority before approval.

  • Purpose and legal structure

The proposed structure should be suitable for the company’s intended activities, ownership and longer term plans.

  • Ownership and control

The shareholders, ownership percentages, voting arrangements and ultimate beneficial owners should be clearly identified.

  • Directors and company officers

Every Singapore company must meet the applicable requirements for directors and other officers, including having at least one ordinarily resident director.

  • Share capital and shareholder rights

The initial share capital, number and classes of shares, currencies and rights attached to those shares should reflect the intended ownership and funding arrangements.

  • Business activities and regulatory approvals

The company’s principal and secondary activities must be identified accurately. Certain activities may require licences or approvals from the relevant authorities.

  • Registered office and operating presence

The company must maintain a registered office address in Singapore. Its actual operating, staffing and premises requirements should also be considered.

  • Financial year end, accounting and tax

The chosen financial year end can affect the timing of the company’s accounting, annual filing and tax obligations.

  • Requirements after incorporation

The company will need to maintain statutory records, appoint the necessary officers and address its banking, accounting, tax, employment and recurring compliance responsibilities.

Setting up a Singapore company from overseas

A Singapore company may have foreign individual or corporate shareholders. However, overseas founders cannot reserve the company name and submit the incorporation directly. They must engage a registered Corporate Service Provider to make the filing on their behalf.

This requirement gives ACRA a locally regulated intermediary responsible for verifying the individuals and beneficial owners behind the company, carrying out the required checks and complying with Singapore’s anti-money-laundering obligations. It is intended to protect the integrity of Singapore’s corporate register and reduce the risk of companies being established for unlawful or improper purposes.

Locally resident director

Every Singapore company must have at least one ordinarily resident director. Orovia may provide a nominee director where required, subject to our assessment and acceptance.

Singapore registered office

The company must maintain a registered office address in Singapore. Orovia can provide this as part of the agreed scope.

Company secretary

A Singapore company must appoint a company secretary within the required period. Orovia can provide the appointment and ongoing support.

Overseas ownership documents

Additional identification and corporate records may be required for overseas shareholders, directors or parent companies.

Working in Singapore

Owning shares or becoming a director does not automatically grant the right to live or work in Singapore. An appropriate work pass is required where an overseas founder intends to relocate or work here.

We can coordinate the incorporation remotely where practical and assist with the company’s initial banking, accounting, tax and operational requirements after registration.

What information and documents are generally required?

The precise requirements will depend on the company’s ownership, activities and the jurisdictions involved. At a high level, you should be prepared to provide the following:

Company information

  • Proposed company name and suitable alternatives
  • Description of the intended business activities
  • Proposed shareholders, directors and company secretary
  • Ownership percentages and initial share capital
  • Singapore registered office address
  • Proposed financial year end

Overseas documents. Documents issued outside Singapore may need to be certified, notarised or translated, depending on their origin and the circumstances of the incorporation.

Once we understand the proposed structure, we will provide a tailored list of the information and documents required.

How does the Singapore company incorporation process work?

  1. Initial discussion

We begin by understanding the proposed business, its founders, ownership, activities and plans for operating in Singapore.

  2. Apply for the company name

We confirm the preferred company name, suitable alternatives and the proposed business activities before submitting the name application to ACRA.

  3. Obtain name approval and reservation

ACRA may approve the name, request further information or refer the application to another government authority. The incorporation cannot proceed until the company name has been approved and reserved.

  4. Confirm the company setup

We confirm the shareholders, directors, share capital, registered office, financial year end and other information needed for registration.

  5. Prepare and sign the documents

We prepare the incorporation documents for review and arrange for the relevant parties to complete and sign them.

  6. Submit the incorporation

Once the company name has been approved and all required documents and verification matters are complete, we submit the incorporation application to ACRA. The company is legally established only after ACRA approves the application and issues its Unique Entity Number.

  7. Complete the initial company setup

After registration, we complete the agreed corporate secretarial, statutory record, registered office and other post incorporation arrangements needed for the company to begin operating.

One relationship, from incorporation onwards

Establishing a company is an important step, and it often comes with questions that extend well beyond the registration itself. We take the time to understand what you are setting up, why you are establishing it and what you may need as the business begins to operate.

Our role is to make the requirements easier to understand, guide you through the decisions that matter and remain available after the company has been incorporated.

  • We begin with a conversation

Before preparing the incorporation, we listen to your plans and understand the proposed ownership, activities and way in which the company will operate.

  • We explain what matters

You receive practical guidance on the structure, appointments, financial year end and other decisions that may affect the company later, not simply a list of forms to complete.

  • We bring the requirements together

Where needed, we can connect the incorporation with corporate secretarial support, a registered office, accounting, tax, payroll and other initial arrangements.

  • We stay connected

After incorporation, you can continue working with people who already understand your company, its history and the decisions made when it was established.

  • Our support can grow with you

As your requirements change, we can assist with ongoing compliance, bookkeeping, financial reporting, tax, payroll, finance systems and strategic finance guidance.

The value of one relationship is knowing who to call when a question arises or the business changes. Because we understand how your company was established and where you want to take it, we can respond with context, bring together the right support and help you move forward with confidence.

What happens after your company is incorporated?

Once registration is complete, attention turns to preparing the company to operate and meeting its first year responsibilities. These can include corporate records, banking, accounting, tax, employment and recurring statutory obligations.

Our first year checklist explains the key matters and when they may require attention.

How are incorporation fees determined?

Incorporation fees depend on the company’s ownership, structure and the support required. An incorporation involving overseas or corporate shareholders, a nominee director, a registered office address or additional setup requirements will have a different scope from a straightforward locally owned company.

Before work begins, we provide a clear quotation setting out:

  • Orovia’s professional fees
  • Prevailing government charges
  • Any additional or ongoing services included in the engagement

Where both one time incorporation work and recurring services are required, the respective fees will be shown separately.

Frequently asked questions

Can a foreigner establish a company in Singapore?

Yes. A Singapore company may have foreign individual or corporate shareholders. Foreign founders must engage a registered Corporate Service Provider to reserve the company name and complete the incorporation, and the company must satisfy Singapore’s local director, registered office and other statutory requirements.

Do I need to be physically present in Singapore to incorporate?

The incorporation can generally be completed remotely. However, separate requirements may apply for identity verification, bank account applications, work passes or other post incorporation matters.

Does every Singapore company need a locally resident director?

Yes. Every Singapore company must have at least one director who is ordinarily resident in Singapore. The company may also appoint additional directors who are based overseas.

What happens if I do not have a suitable locally resident director?

We may be able to provide a nominee director, subject to our assessment, terms and acceptance. A nominee director remains legally responsible as a director and cannot be treated as a purely administrative appointment.

Does the company name need to be approved before incorporation?

Yes. The proposed company name must be submitted to and approved by ACRA before the incorporation application can proceed. ACRA may request further information or refer certain applications to another government authority for review.

How long does the company incorporation process take?

A straightforward registration may be completed as early as one working day or within a few working days after the company name has been approved and all required documents are complete. Additional time may be required for name referrals, overseas or corporate ownership structures, verification matters or further regulatory review.

What is the minimum share capital for a Singapore company?

A company that requires share capital can generally begin with at least SGD1. The appropriate amount should nevertheless reflect the company’s intended activities, funding and operating requirements.

Does the company need a company secretary and registered office?

Yes. The company must maintain a registered office address in Singapore and appoint a company secretary within six months of registration. We provide both services.

Can Orovia assist with opening a corporate bank account?

Yes. We can assist with the application process and preparation of the supporting information. Account approval remains subject to the bank’s own requirements, verification and assessment.

What should be done after the company is incorporated?

The company will need to address its statutory records, banking, accounting, tax and other operational responsibilities. Our First Year Company Checklist provides a practical overview of the matters that may require attention.
